This Master Services Agreement (“Agreement”) outlines the terms that apply to all services provided by TradieMate Marketing. It governs all current and future engagements unless superseded by a signed agreement.

Definitions

  • “Services” means any marketing, advertising, design, strategy, or consulting work provided by TradieMate.
  • “Proposal” or “Scope of Work” (SOW) refers to a document issued by TradieMate outlining deliverables, timelines, fees, or project inclusions.
  • “Deliverables” means final creative, digital, or technical output provided by TradieMate.
  • “Minimum Term” means the defined term of service outlined in a proposal or agreement.
  • “Client” means the person or business receiving services under this Agreement.

Scope of Agreement

This Agreement governs the delivery of all Services, including ongoing marketing retainers and project-based work.

 

Where a written proposal or scope of work is provided and signed, it will take precedence for that engagement. If no proposal is issued, the following applies:

 

  • Scope: Services will align with TradieMate’s standard offerings for the package or platform selected.
  • Billing: Services will be charged at our standard rate card. Marketing work is typically billed in advance. Projects may be invoiced in full or in stages. Payment terms default to 7 days unless otherwise stated.
  • Ownership & IP: All ownership, licensing, and access terms are governed by our Ownership & Access Policy
  • Terms: The terms of this MSA and our Marketing & Advertising Terms of Service apply in full.

 

If any deliverables, fees, or responsibilities are discussed via email or meeting, these may be treated as a de facto scope in the absence of a formal document.

Services Offered

TradieMate provides:

 

  • Ongoing services such as ads management, SEO, CRM support, and strategy
  • Project-based services such as websites, branding, lead magnets, and collateral

 

We may perform work in-house or via approved subcontractors, under our direction.

Approvals & Authority

Unless advised otherwise, we’ll consider any instructions, approvals, or feedback from you or your team as authorised. This includes email, phone, messaging apps, meetings, or written communication.

Payment Terms

  • Marketing services may be billed in advance, monthly, or in structured term-based payments.
  • Projects may be billed upfront, in stages, or per milestone, depending on the proposal.
  • If no invoice terms are specified, payment is due 7 days from invoice.

Missed Payments

If payment is not received by the due date:

  • Services may be paused without notice
  • Access to advertising platforms or deliverables may be withheld
  • Interest of 2% per month may apply from the first day overdue
  • External recovery costs will be payable by the Client if collections are initiated

Refunds

Refunds will not be offered for services already commenced or delivered, including strategy development, ad setup, media buying, design, or content production. Any refunds granted at our discretion do not set a precedent.

Discounts

Where discounts have been offered by TradieMate as part of a client agreement or proposal, the following conditions apply:

 

  • Eligibility: Discounts are applied only when payments are received by the invoice due date.
  • Removal of Discount: If any payment becomes overdue by more than 7 days, the provided discount will be immediately revoked. All services rendered in that billing period will revert to our standard hourly rates.
  • Adjustment of Outstanding Balance: Upon discount removal, the difference between the discounted amount and the standard hourly rate becomes immediately due and payable.
  • Reinstatement of Discount: Reinstatement of any discount revoked due to late payment is at the sole discretion of TradieMate.

 

Clients will be notified clearly if a discount has been revoked due to late payment.

Ad Spend, Billing & Media Costs

You are responsible for all advertising platform spend initiated, approved, or enabled — whether campaigns are delivered via your accounts or ours.

Intellectual Property & Ownership

IP, licensing, and usage terms are detailed in our Ownership & Access Policy, which forms part of this Agreement.

 

  • Campaign structures, templates, automations, landing page frameworks, and backend systems remain the property of TradieMate.
  • Final deliverables (e.g. ads, designs, published content) may be licensed to the Client for business use, subject to full payment.

 

You may not reuse or resell TradieMate systems or content outside the scope of this licence.

Support & Change Requests

Support may be included where explicitly stated (e.g. post-launch website support). Otherwise:

 

  • Support is not included unless noted
  • Ad hoc changes and support are billed at the rate card
  • Support does not include new features, redesigns, or strategy revisions

 

No fixed response times are guaranteed unless outlined in a proposal or agreement.

Termination

This MSA applies across all current and future projects unless replaced.

 

  • For services with a Minimum Term, you must provide at least 30 days’ notice prior to the end of term if you intend to exit. Otherwise, the service will automatically renew on a month-to-month basis until formally cancelled.
  • For out-of-term or flexible services, either party may terminate with 30 days’ written notice.

 

Access to systems and assets will be handled per the Ownership & Access Policy.

Limitation of Liability

To the extent permitted by law:

TradieMate is not liable for any indirect, incidental, or consequential damages, including loss of revenue, data, leads, or reputation.

Where liability cannot be excluded, our maximum liability is limited to:

The total amount paid by the Client in the three (3) months prior to the claim, or $5,000 — whichever is greater.

Dispute Resolution

If a dispute arises:

 

  • Both parties agree to engage in good faith discussions
  • If unresolved, we will participate in independent mediation within 30 days of a formal dispute notice

 

Legal action may only proceed after mediation has been attempted.

The following documents form part of this Agreement and are binding on both parties as if set out in full:

 

 

TradieMate may update these or introduce additional policy documents from time to time to reflect changes in services, legal requirements, or operations. The most recent versions will be made available on request, or provided as part of our onboarding documentation or service correspondence.

Updates to This Agreement

We may update this Agreement periodically. Any changes will be communicated and will apply to future engagements unless otherwise agreed in writing.

Acceptance of Terms

By engaging TradieMate to commence work, making payment, or signing/approving any proposal, the Client agrees to the terms of this Master Services Agreement, including any incorporated policies listed herein. Verbal or written approval of services, or continued use of our services after being provided this Agreement, constitutes acceptance of these terms.
